BY LAWS FOR BIRAK SHRINE CLUB

Article I.           NAME
Section 1.01 This club shall be known as the Birak Shrine Club

Article II.          OBJECT
Section 2.01 The object of this club shall be to promote the best interests of shrinedom in Otter Tail County and the surrounding areas, to gather all Shriners in the locality together, forming a link between them and the various Temples, and to interest all Masons in the worthwhile work the Shrine is doing.

Article III.         MEMBERSHIP
Section 3.01 Any Shriner of any Temple in good standing shall be eligible for membership in this club.
Section 3.02 Applicants must receive a majority vote of the members present at any business meeting to become a member.
Section 3.03 Members must maintain good standing in the temple(s) to which they belong and comply with the articles of Zuhrah Shriners and Shriners International.  Failure to maintain such good standing shall automatically terminate membership in this club.

Article IV.          FEES AND DUES
Section 4.01 Annual dues shall be determined at a stated meeting, after notice has been given to each member at least 10 days in advance stating the proposed amount of the annual dues.
Section 4.02 Any member whose dues are more than two (2) years in arrears may be stricken from the membership roll of the club after consideration by the club’s governing body at any business meeting.

Article V.           MEETINGS
Section 5.01 Stated (regular) meetings shall be held 4 times yearly in the months of January, April, June and October.
Section 5.02 Special meetings may be called by the President at his discretion or at the request of 10 members of the Club by giving written notice to the members of the club, of the time, place and purpose of the meeting, at least 10 days in advance.
Section 5.03 The Annual meeting shall be held on the 2nd Monday in January each year, with the installation of elected officers to be held at that time.

Article VI.           BOARD OF DIRECTORS
Section 6.01 A Board of seven (7) directors and four (4) officers shall manage the business and the affairs of the Club.
Section 6.02 Two (2) Directors shall be elected for a term of three (3) years at the Stated Meeting in October each year.
Section 6.03 The retiring President of the Club shall automatically become a member of the Board of Directors for one (1) year or until next President is retired and shall constitute the 11th member of the Board of Directors.
Section 6.04 Any vacancy, occurring by reason of death, resignation, or termination, of a Officer or Director, shall be filled by appointment by the President, to fill the vacancy, to serve until the next Stated Meeting in October when a Director or Officer shall be elected
Section 6.05 A majority of the Board of Directors must be present to conduct business.

Article VII.            OFFICERS
Section 7.01 There shall be 4 officers of the club: President, Vice President, Secretary and Treasurer.
Section 7.02 The officers of the Club shall be elected by a majority vote at the Stated Meeting in October and shall hold office for a term of 1 year or until their successor has been elected and installed.  No president shall serve for more than two (2) successive terms.
Section 7.03 The Zuhrah Divan Representative appointed by the Potentate shall act in an advisory capacity in all matters pertaining to the Club and Zuhrah Shriners.
Section 7.04 The President shall preside over and conduct all meetings of the Club.  He shall appoint all necessary committees, serving an ex-officio on all committees and shall perform other duties as are incident of the office.
Section 7.05 The Vice President shall act in place of the President, in case of the President’s absence or inability to act, for any reason, and shall perform such other duties as are usually incident of this office.
Section 7.06 The Secretary shall keep all minutes, files and records of the Club and shall collect all monies of the Club.
Section 7.07 The Treasurer shall receive all monies from the Secretary, receipting for the same, and shall pay the bills duly authorized by the Club’s governing body.
Section 7.08 The Secretary and Treasurer shall submit written reports at the Annual Meeting of the Club.

Article VIII.        LIMITATIONS OF INCURRING OBLIGATIONS
Section 8.01 No debts, obligations or contracts of the Club shall be incurred without authority from the Club’s governing body.
Section 8.02 Birak Shrine Club can’t enter into any contract without the approval of Zuhrah Shrine Divan and their attorneys.

Article IX.           FUND RAISING ACTIVITIES
Section 9.01 No fund raising activity shall be sponsored by the Club unless all details of the plan are submitted to Zuhrah Shriners in writing at least thirty (30) days prior to start of activity and such plan has the approval of the Potentate of Zuhrah Shriners.
Section 9.02 Under no circumstances is it permissible for the name Shriners Hospitals for Children or any part thereof, to be used directly or indirectly as a vehicle for the promotion of fund raising activities.  Any attempt directly or indirectly to make use of  public support and admiration for our Hospital work incident to the promotion of activities is not only clearly unethical but a violation of Imperial Code.
Section 9.03 Zuhrah Shriners under no circumstances shall be responsible for any indebtedness incurred by the promotion of any event of the Club.

Article X.           ORDER OF BUSINESS
Section 10.01 Six members in good standing on the books of the Club shall constitute a quorum for the conduct of business.
Section 10.02 The order of business shall be as follows:
                       A). Calling the meeting to order.
                        B). Reading minutes of last meeting.
                        C). Treasurer’ report (s).
                        D). Committee Reports.
                        E).  Welfare of the Club and its members.
                        F).   Petitions for membership.
                        G).  Communications.
                        H).  Bills.
                         I).  Old business.
                         J).   New business.
                         K). Closing the meeting.

Article XI.          Amendments
Section 11.01 The By-laws may be amended by a two-thirds vote of the membership present at any stated meeting provided that notice of such amendment has been sent to the membership at least ten (10) days prior to the meeting for consideration.
Section 11.02 No amendment shall become effective until it has been approved by the Potentate of Zuhrah Shriners.

These By-laws have been adopted by the members of Birak Shrine Club at a meeting held on the 11th of October, 2010.
